TERMS & CONDITIONS OF USE

1.1  Introduction and Legal Effect of These Terms
  • These Terms and Conditions of Use referred to in this document as the “Terms”. constitute a legally binding contract between the User and RIM Solutions Private Limited which operates the digital platform branded as “PayBayGO”. The Terms govern the User’s access to and use of all features, services, products, integrations and technology interfaces made available through the PayBayGO platform. This includes the website, the mobile application, application programming interfaces, backend infrastructure, digital wallet functionality, and any other service that facilitates discovery, reservation, access or use of parking spaces listed on the platform.

1.1.2. By creating an account, or by accessing, browsing or using any component of the Platform, the User acknowledges that they have read, understood and unconditionally agreed to be bound by these Terms. Continued use of the Platform constitutes ongoing acceptance of the Terms in their updated form. The User is responsible for reviewing the Terms periodically to ensure awareness of modifications.

  • If the User is entering into these Terms on behalf of a company, partnership, trust or any other legal entity, the User represents that they have full authority to bind such entity. If the User does not possess such authority, or if the User does not agree with the Terms, the User must refrain from using the Platform.
  • PayBayGO operates exclusively as a digital PayBayGO provides a technology platform that enables the User to discover, reserve and pay for parking spaces offered by independent third-party Operators. PayBayGO does not own any parking spaces, does not manage day to day operations of parking facilities, does not control entry or exit, and does not supervise or monitor the conduct of Operators or Users. The relationship facilitated by PayBayGO is purely technological. and the contractual and operational responsibilities related to parking operations remain with the respective third party Operators.
  • Nothing in these Terms shall be interpreted to mean that PayBayGO acts as an agent, trustee, fiduciary, custodian, bailee or representative of any Operator or All payments made by Users into the PayBayGO Wallet constitute payments made into a closed loop system. PayBayGO does not hold funds “on behalf of” Operators. and PayBayGO does not fall within the scope of Payment Aggregator regulations issued by the Reserve Bank of India.
  • The Platform is intended for use within India The User represents and warrants that their use of the Platform is lawful in accordance with the laws applicable to them. PayBayGO shall not be liable for any use of the Platform that violates any applicable law or regulation.
 
1.2  Parties to the Agreement
  • RIM Solutions Private Limited, a company incorporated under the Companies Act, 2013. having its registered office at 47, Kumara Krupa Towers, 2nd Cross, 1st Block, Dr Kumars Layout, Nagayanapalya, Maruthisevanagar, Bangalore – 560033 is the operator and controller of the PayBayGO digital platform.
  • Users – The term “User” refers to any individual or legal entity that accesses the Platform, creates an account on the Platform, uses the closed loop wallet, books or attempts to book parking sessions, purchases or attempts to purchase subscription passes or interacts with any digital function provided by PayBayGO.
  • Operators – Operators are independent third parties who own or are lawfully entitled to manage parking facilities. Operators list their parking spaces on the Platform under commercial agreements with PayBayGO. Operators are solely responsible for the availability, access conditions, pricing, operational management, maintenance, safety and security of the parking spaces they offer. PayBayGO is not responsible or liable for the acts, omissions, conduct or representations of Operators.
  • Payment Gateway – PayBayGO integrates third party payment gateway services. including Razorpay to enable Users to load value into the closed loop These payment gateways operate according to their own terms and policies. Users who interact with the Gateway agree to comply with those terms.
 
1.3  Nature of PayBayGO’s Services
  • PayBayGO provides a digital platform that enables Users to discover and book parking spaces offered by Operators. The Platform facilitates the display of available slots, pricing information, operational hours, access rules and other Operator provided details.
  • PayBayGO facilitates digital payments through a closed loop Wallet The Wallet allows Users to deposit monetary value within the Platform for use exclusively toward parking bookings and subscriptions. The Wallet is not a general-purpose payment instrument. may not be transferred to other persons may not be used outside the Platform. and may not be withdrawn except where required by law or explicitly offered by PayBayGO.
  • PayBayGO also enables subscription-based parking products referred to as “Passes”. Passes may be offered on daily, weekly, monthly or annual cycles, depending on Operator availability. Passes allow Users to access specific parking spaces or categories of parking spaces subject to the terms applicable to that Pass.
  • PayBayGO does not provide physical parking services does not guarantee the availability of parking spaces at any time. does not verify the physical condition, safety or suitability of any parking facility. and does not supervise the conduct of Users or Operators. Operators retain full control and responsibility over the operational aspects of the parking spaces they list.
  • PayBayGO does not assume and shall not be deemed to assume legal possession or custody of any User’s Parking of a vehicle at any Operator’s facility is entirely at the User’s risk and subject to the Operator’s policies. PayBayGO does not provide vehicle storage services, security services, valet services, towing assistance, or any ancillary operational service.
  • PayBayGO does not guarantee uninterrupted Platform Platform performance may be affected by maintenance, updates, network failures, gateway downtime, Operator system failures or other external factors. Use of the Platform is provided on an “as is” and “as available” basis.
 
1.4  Geographic Scope and Governing Jurisdiction
  • The Platform and all related services are offered for use within PayBayGO does not represent that the Platform may legally be used outside India. The User must ensure that their use of the Platform complies with laws applicable to them.
  • All rights, obligations, disputes and claims arising from these Terms shall be governed by and interpreted exclusively in accordance with the laws of India, without reference to conflict of law principles.
  • The courts and tribunals situated in Bengaluru, Karnataka shall have exclusive jurisdiction to adjudicate any dispute arising out of or in connection with these Terms. The User expressly agrees and submits to the jurisdiction of such courts.

 

1.5  Acceptance and Modification of Terms
  • PayBayGO may revise, update or modify these Terms at any Updates may reflect changes in legal requirements, changes to the Platform’s features, shifts in commercial arrangements with Operators, or improvements to user experience.
  • PayBayGO shall notify Users of material updates through the Platform, email notifications or other suitable communication channels. However, Users are responsible for reviewing the Terms from time to time.
  • Continued use of the Platform following any modification constitutes the User’s acceptance of the updated If the User does not wish to accept modifications, the User must discontinue use of the Platform.
 
1.6  Scope of Definitions

To avoid ambiguity, the following interpretive principles apply:

  • Words in the singular include the plural and vice versa, unless the context clearly requires otherwise.
  • References to “include”, “includes” or “including” shall be read to mean “including without limitation”.
  • Any reference to an Operator’s obligations shall mean obligations imposed solely on the Operator. not on PayBayGO.
  • Any reference to “User responsibilities” shall include obligations related to lawful use, data accuracy, payment obligations, conduct at parking sites, compliance with Operator rules, and usage of the Platform’s wallet.
  • Any clause that appears in conflict with another clause shall be interpreted to preserve the broadest protection for PayBayGO permitted under Applicable Law.
  • Headings are for convenience only and shall not affect
  • These Terms must be interpreted holistically, such that PayBayGO’s role as a digital intermediary is preserved and strengthened across all clauses.
 
2.  DEFINITIONS AND INTERPRETATION

 2.1  Definitions

For the purpose of these Terms & Conditions (“Terms”), and unless the context expressly requires otherwise, the following expressions shall bear the meanings assigned to them below. The definitions are intentionally expansive, and all terms shall be interpreted in accordance with Interpretation A as confirmed by the Client.

  • “Company” / “PayBayGO” / “We” / “Us” / “Our” Refers collectively to RIM Solutions Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at: 47, Kumara Krupa Towers, 2nd Cross, 1st Block, Dr Kumars Layout, Nagayanapalya, Maruthisevanagar, Bangalore – 560033, and includes its directors, employees, officers, authorised agents, assigns, affiliates, and any entity under common ownership or operational oversight.
  • “Platform” Means the entire digital ecosystem operated by PayBayGO, including but not limited to:
  • the PayBayGO mobile application,
  • the PayBayGO website,
  • backend databases, servers, cloud infrastructures, algorithms, APIs, automated parking- logic engines,
  • the PayBayGO closed-loop Wallet,
  • Razorpay-integrated payment infrastructure, and
  • any future technological extensions, updates, modules, or service layers that PayBayGO may develop or deploy.
    • “User” / “Customer” Means any individual, natural person, vehicle owner, driver, or authorised representative who accesses the Platform, creates an account, loads Wallet balance, purchases subscriptions, initiates Parking Sessions, interacts with Operators through the Platform, or otherwise uses any Service.
  • “Operator” / “Parking Operator” / “Vendor” / “Partner” Means any third-party individual or entity who owns, controls, manages, leases, administers, or otherwise provides access to a parking space or parking facility listed or accessible via the Platform. For avoidance of doubt: Operators are independent third parties. PayBayGO holds no ownership, control, or managerial oversight over parking spaces. PayBayGO’s role is strictly that of a digital intermediary.
  • “Services” Means all services made available through the Platform, including:
  • discovery and booking of parking spaces,
  • Wallet-based payments,
  • subscription-based “Pass” services (weekly, monthly, annual),
  • access to Operator-controlled parking facilities,
  • automated billing, charging, and exit logic,
  • customer support functions,
  • receipt issuance, transaction logs, and parking history,
  • data-processing necessary for Service For the avoidance of doubt, Services exclude any physical parking operations, vehicle handling, security, surveillance, enforcement, towing, or maintenance.
  • “Parking Session” Means any instance in which a User initiates, occupies, or completes parking within an Operator’s parking facility using the Platform. This includes:
  • Pay-per-use parking,
  • Pass-based access,
  • entry and exit recordings,
  • automated ANPR detections,
  • manual operator validations, and
  • any time period in which the User’s vehicle is present within the designated parking
  • “Wallet” / “PayBayGO Wallet” Means the closed-loop prepaid balance system maintained within the Platform. Funds in the Wallet:
  • are usable only to pay for PayBayGO Services;
  • are non-transferable and cannot be withdrawn;
  • do not accrue interest;
  • remain valid until exhausted;
  • may be refunded solely in accordance with the Refund
  • “Pass” / “Subscription Pass” Means a pre-paid, time-bound entitlement allowing Users access to eligible parking spaces for a week, month, or year. Passes do not guarantee availability unless expressly stated.
  • “Overstay Charges” / “Additional Charges” Means any charges automatically applied when a User parks beyond the entitled period under a Pass or Parking Session. These charges are calculated based on equivalent per-day rates as prescribed by the Operator.
  • “Payment Gateway” / “Razorpay” Refers to Razorpay, PayBayGO’s authorised payment-processing partner. All transactions processed through Razorpay are subject to Razorpay’s terms, security frameworks, and compliance frameworks.
  • “Applicable Law” Means all laws, regulations, notifications, directions, circulars, judicial precedents, and governmental mandates in force in India, including those of the State of Karnataka.

 

2.2  Interpretation Principles

This section defines how all future clauses shall be legally construed, ensuring that PayBayGO receives the maximum lawful protection.

  • Unified Construction These Terms constitute a single, unified agreement. No clause shall be read in isolation. All sections must be harmoniously interpreted.
  • Heading Neutrality Headings, titles, and clause numbering exist for convenience only. They do not alter, restrict, expand, or limit the legal meaning of the provisions beneath them.
  • Inclusive “Includes / Including” Wording Whenever “include”, “includes”, or “including” is used, it is deemed to mean “including without limitation”.
  • Strictest Protection Interpretation Where clauses permit more than one reasonable interpretation, the legally permissible interpretation that:
  • most limits PayBayGO’s liability,
  • most confirms PayBayGO’s role as a digital intermediary, and
  • most aligns with the closed-loop Wallet model (Model A), shall prevail.
  • Independent Contractor Status of Operators Operators are not agents, employees, franchisees, subsidiaries, or representatives of PayBayGO. Their conduct cannot, under any circumstance, be imputed to PayBayGO.
  • Recognition of Closed-Loop Payment Architecture Payments collected from Users are deemed:
  • prepaid consideration for Services, not third-party custodial holdings,
  • managed in accordance with closed-loop guidelines,
  • exempt from Payment Aggregator regulatory
  • Survival of Clauses All clauses relating to:
    1. limitation of liability,
    2. indemnification,
    3. warranty disclaimers,
    4. governing law,
    5. dispute resolution, and
    6. intellectual property survive termination of the User’s account.
  • Digital Consent User interactions—taps, clicks, sign-ups, logins, Wallet loads, parking initiations—constitute legally binding electronic acceptance under the Information Technology Act, 2000.

 

2.3  Binding Nature
 Use of the Platform constitutes:
    1. complete acceptance of these Terms,
    2. acknowledgment of PayBayGO’s limited role, and
    3. consent to all data, payment, and operational

 

2.4  Territorial Jurisdiction

These Terms apply to all Users irrespective of physical location, but for all legal and judicial purposes, the place of contract formation, performance, and enforcement is agreed to be Bengaluru, Karnataka, unless PayBayGO specifies otherwise.

3.  ELIGIBILITY, ACCOUNT CREATION, USER OBLIGATIONS & REPRESENTATIONS
 3.1  Eligibility to Use the Platform 
  • Minimum Age Requirement Use of the PayBayGO Platform is restricted to individuals who have attained the legal age of majority applicable in their jurisdiction, which for Users residing in India is eighteen (18) years. By creating an account, the User represents and warrants that they possess full legal capacity and authority to enter into binding contractual obligations.
  • Competency to Contract Users must be of sound mind, not disqualified by law, and free from any legal disability that would restrict participation in digital contractual engagements. PayBayGO reserves the right to request proof of identity or age where reasonable doubts regarding eligibility arise.
  • Corporate or Institutional Users Entities such as businesses, fleet operators, housing societies, commercial complexes, or proprietary establishments may create accounts through duly authorised signatories. Such entities shall be fully responsible for ensuring that their representatives comply with these Terms, and PayBayGO shall not be required to independently verify internal authority chains unless mandated by law.
  • Jurisdictional Restrictions Access to the Platform is limited to jurisdictions where PayBayGO lawfully operates. PayBayGO may restrict or block access from certain locations, networks, or devices at its discretion, particularly for compliance, security, or risk-management reasons.

 

3.2  Account Registration and Maintenance
  • Mandatory Account Creation To use any functionality of the Platform—including but not limited to browsing parking availability, initiating sessions, purchasing passes, loading the Wallet, or receiving confirmations—Users must register an account with PayBayGO. Anonymous or guest usage is not permitted unless expressly enabled for limited future features.
  • Accurate Information Requirement Users must provide accurate, complete, and up-to-date information including name, mobile number, email address, vehicle details, and any other data required for platform functionality, identity verification, or compliance purposes.
  • Ongoing Duty to Update Information Users must promptly update all account information whenever changes occur. PayBayGO is not liable for any loss, penalty, or misrouting of communications resulting from outdated or incorrect User information.
  • Account Security and Confidentiality The User is solely responsible for safeguarding login credentials, OTPs, device access, and authentication tokens. Any activity performed using the User’s credentials will be deemed to have been performed by the User. PayBayGO shall bear no liability for unauthorized access unless solely caused by a proven, unrectified security failure within PayBayGO’s systems.
  • Account Suspension and Termination PayBayGO reserves the right to suspend, restrict, or terminate User accounts where:
  • misuse, fraud, or suspicious activity is detected;
  • incorrect or misleading information is identified;
  • regulatory or law-enforcement authorities issue directives;
  • the User violates any provisions of these Suspension does not relieve the User of financial obligations incurred prior to such suspension.
 
3.3  User Responsibilities and Conduct Requirements
  • General Conduct Requirements Users agree to act lawfully, responsibly, and ethically while using the Platform. Users must not engage in conduct that interferes with platform integrity, misrepresents information, or compromises other Users or Operators.
  • Vehicle Information and Data Accuracy The User must maintain accurate vehicle details, such as registration number, type, model, fuel category, and any other information necessary for determining parking eligibility, compliance with Operator policies, or integration with sensor or ANPR systems.
  • Compliance with Operator Rules and On-Site Policies Users must adhere to all rules, safety protocols, parking restrictions, hours of operation, entry/exit procedures, and instructions issued by Operators. PayBayGO, as a digital intermediary, neither supervises nor controls physical parking spaces, and all operational responsibility lies solely with the Operator.
  • Use of Legitimate Payment Instruments Users must ensure that payment instruments used to load Wallet funds or pay for Services are legitimate, authorised, and lawfully controlled by the User. Any fraudulent, unauthorised, or disputed payment activity may trigger immediate suspension.
  • Cooperation with Verification Processes Users agree to cooperate with identity checks, KYC procedures, data validation, or other verification steps executed for compliance, anti-fraud, or system-integrity purposes.
  • Responsible Use of Automation Features Users expressly consent to the use of automated technologies including:
  • Automatic Number Plate Recognition (ANPR)
  • Sensor-based detection
  • Entry-exit timestamping
  • Auto-billing through Wallet deduction
  • Digital notifications and receipts

The User shall not interfere with, obscure, disable, bypass, or manipulate any automated mechanism.

  • Prohibition on Reverse Engineering or Malicious Interference Users must not:
  • decompile, modify, or reverse-engineer platform code;
  • access backend systems without authorization;
  • introduce malware, bots, or automated scripts;
  • manipulate session duration, entry/exit logs, or tariff

Any such activity constitutes grounds for immediate termination and legal action.

 

3.4  Adherence to Parking Rules and Operator Terms
  • Every Operator associated with PayBayGO may define their own rules governing access, permitted use, movement, and parking at their respective premises.
  • By using the Platform, the User agrees to comply with all such Operator rules, including but not limited to:
    1. speed limits within the premises,
    2. designated parking zones,
    3. restrictions relating to vehicle type or size,
    4. instructions issued by Operator personnel,
    5. entry and exit regulations enforced at the parking
  • PayBayGO bears no responsibility for notifying Users of Operator rules beyond the general guidance available on the Platform. Users are independently obligated to comply with posted or verbally communicated instructions at each location.
  • Any violation of Operator rules may result in:
    1. denial of entry or exit,
    2. additional charges,
    3. reporting to local authorities,
    4. termination of access to one or more PayBayGO-enabled parking

 

3.5  Use of Automated Systems, Sensors, Tracking and ANPR
  • The User expressly consents to the use of automated tracking technologies necessary for the functioning of PayBayGO, including:
    1. license plate detection (ANPR),
    2. time-stamping of entry and exit,
    3. IoT devices embedded at parking facilities,
    4. QR-based authentication,
    5. location-verification
  • Such technologies may be used to:
    1. calculate Parking Session duration,
    2. detect overstays,
    3. confirm Pass entitlements,
    4. validate that a User is authorized to park at a given
  • The User agrees that these automated systems are determinative for billing, audit, and enforcement purposes and cannot be unilaterally disputed unless the User provides objective and verifiable counter-evidence.
  • PayBayGO does not guarantee uninterrupted functioning of such systems and shall not be liable for errors arising from:
    1. internet outages at the Operator facility,
    2. sensor obstructions,
    3. number plate tampering,
    4. extreme weather conditions affecting visibility,
    5. external interference beyond PayBayGO’s
 
3.6  Prohibition on Unauthorised or Misleading Use
  • Users shall not engage in any activity designed to circumvent the Platform’s payment, billing, or access controls including:
  1. covering number plates,
  2. using fake license plates,
  3. manual alteration of timestamps,
  4. misusing Passes across unauthorized vehicles,
    1. attempting unauthorized physical entry into a parking
  • Any such action constitutes a material breach of this Agreement and may result in:
    1. immediate account suspension,
    2. billing at punitive rates,
    3. reporting to the Operator or legal authorities,
    4. permanent blacklisting from the
 
3.7  Responsibility for Conduct at Parking Locations
  • Users are fully responsible for their conduct and the conduct of any individuals accompanying them while accessing PayBayGO-enabled parking facilities.
  • PayBayGO is not, under any circumstances, responsible for:
    1. vehicle damage,
    2. theft,
    3. vandalism,
    4. personal injury,
    5. loss of belongings,
    6. property damage at or near the parking
  • Users must strictly comply with:
    1. security checks,
    2. parking attendants’ instructions,
    3. barricade or boom-barrier protocols,
    4. safety norms mandated by Operators or
 
3.8  Acceptance of Digital Communication, Receipts and Notices
  • The User consents to receiving:
    1. digital receipts,
    2. billing summaries,
    3. auto-renewal reminders,
  1. subscription expiry notifications,
  2. regulatory communications,
  3. enforcement-related notices,
  4. through digital channels including WhatsApp, email, SMS, push notifications or in- app communication.
  • Any notification delivered through such digital means shall be deemed validly issued and legally binding.
 
3.9  Representations and Warranties of the User

The User represents and warrants that:

  • all data submitted to the Platform is accurate, lawful, and not fraudulent;
  • the User has full authority to register and use the vehicle associated with the Account;
  • the User will not misuse, manipulate, reverse-engineer, or interfere with any digital or physical component of the Platform;
  • the User will comply with all Applicable Laws, including motor vehicle regulations, local parking rules, and any safety guidelines issued at a parking site;
  • the User understands that PayBayGO is only a digital intermediary, and therefore the User shall not attribute any operational responsibility, duty of care, or custodial obligation on PayBayGO in relation to:
    1. parking space availability,
    2. safety of vehicle or persons,
    3. physical conditions of the parking facility, enforcement of Operator
 
3.10  Consequences of Breach
  • Immediate Suspension Violations of this Part may result in instant suspension without prior notice.
  • Financial Consequences Users remain liable for:
    1. unpaid fees
    2. damages caused
    3. penalties levied by Operators
    4. any losses arising from
  • Legal Recourse PayBayGO may initiate civil or criminal proceedings for fraudulent or malicious conduct.
 
4.  DAMAGE CLAIMS AND DAMAGE AMOUNTS
4.1.  Purpose and Scope

This Part governs the framework under which Users, Operators, or any third parties may assert claims for physical damage, financial loss, or other harm allegedly arising from the use of the PayBayGO Platform, its Wallet Services, Parking Services, or any engagement

facilitated through the Platform. 4.1.2.

This Part applies only to interactions initiated or facilitated through PayBayGO’s digital infrastructure and does not extend to any offline arrangements, conduct, or disputes between Users and Operators. PayBayGO neither supervises nor controls the conditions of parking

properties and therefore bears no liability for incidents occurring within them.

 
4.2.  Nature of PayBayGO’s Role
4.2.1.

The User acknowledges and agrees that PayBayGO, operated by RIM Solutions Private Limited, functions solely as a technology intermediary that enables Users to discover, reserve, access, and pay for parking at third-party locations. PayBayGO does not:

  • own, lease, manage, maintain, operate, supervise, or control any parking spaces, parking lots, garages, structures, or related premises.
  • provide physical security, surveillance, monitoring, enforcement, maintenance, or operational oversight at any parking location.
  • take possession, custody, or control of any User vehicle at any
 
4.2.2.

As an intermediary, PayBayGO’s obligations are strictly limited to maintaining a functional digital interface and facilitating Wallet-based payment flows. Any damage events arising within a parking facility fall under the exclusive responsibility of the relevant Operator.

 
4.3.  Types of Damage Claims Not Attributable to PayBayGO
4.3.1.

PayBayGO is not liable for, and expressly disclaims responsibility for, any direct, indirect, consequential, incidental, punitive, exemplary, special, or economic damages arising from:

  • vehicle theft, disappearance, unauthorised movement, vandalism, or break-ins;
  • vehicular damage, including dents, scratches, collisions, impact damage, falling objects, structural issues, or water damage;
  • property damage or personal injury suffered by Users or third parties within a parking facility;
  • damage caused by third-party Operators, attendants, security personnel, or other users operating in or around a parking facility;
  • malfunction, failure, or unavailability of gates, barriers, access systems, ticketing devices, or ANPR sensors;
  • inadequate lighting, uneven surfaces, potholes, structural failures, or unsafe conditions within a facility;
  • fraud, negligence, misrepresentation, or misconduct by Operators or their representatives;
  • improper or unauthorised use of a parking space by another party;
  • force majeure events, including weather, natural calamities, riots, strikes, or other conditions beyond reasonable control;
  • loss of personal items left inside a vehicle, whether visible or
 
4.3.2.

PayBayGO’s Platform is merely a digital conduit. The User acknowledges that parking is undertaken entirely at their own risk and that PayBayGO provides no warranties regarding safety, quality, security, availability, or suitability of any parking space.

 
4.4.  Operator Liability for Damage
4.4.1.

All claims arising from incidents at a physical parking location must be directed to the Operator, who is solely responsible for:

  • maintenance and operation of the premises;
  • safeguarding vehicles and visitor safety to the extent required by law;
  • operational policies, conditions, and enforcement at the parking location;
  • compliance with safety, municipal, and regulatory standards;
  • responding to and resolving damage
 
4.4.2.

PayBayGO may, at its sole discretion, facilitate communication between a User and an Operator, but such facilitation does not constitute acceptance of liability or involvement in the adjudication of the claim.

 
4.5.  User Responsibilities and Duty of Care
4.5.1.

Users must exercise reasonable care when parking, including:

  • locking the vehicle securely;
  • removing or concealing valuables;
  • verifying that they have parked in the correct and authorised space;
  • adhering to all posted instructions, Operator policies, and safety rules;
  • complying with the Platform’s check-in and check-out
 
4.5.2.

Any damage arising due to the User’s negligent or unlawful conduct shall be borne solely by the User.

 
4.6.  Procedure for Submitting a Damage Claim
4.6.1.

Where a User wishes to raise a damage claim, the User must submit a written complaint to the Operator responsible for the location where the incident occurred. The complaint should include:

  • date and approximate time of the incident;
  • photographic or video evidence (if available);
  • vehicle details;
  • parking session details;
  • nature of the loss or damage;
  • supporting documents such as invoices, repair estimates or police
 
4.6.2.

The User may choose to notify PayBayGO for record-keeping, but PayBayGO has no obligation to investigate or intervene in damage disputes.

 
4.7.  PayBayGO’s Discretionary Involvement
4.7.1.

PayBayGO may, solely as a goodwill gesture and without assuming liability:

  • relay the User’s complaint to the Operator;
  • share digital session logs, timestamps, or transaction metadata to assist factual clarification;
  • assist in identifying the appropriate Operator point-of-
 
4.7.2.

Such assistance does not constitute:

  1. an admission of fault or liability;
  2. an undertaking to compensate the User;
  3. a representation regarding the outcome of the
 
4.8.  Damage Amounts and Recovery
4.8.1.

Any compensation, reimbursement, or damage amount payable to a User shall be determined exclusively by the Operator, applying their internal policies, insurance coverage, or applicable law.

 
4.8.2.

PayBayGO does not:

  1. assess damages;
  2. calculate repair costs;
  3. mediate valuation disputes;
  4. disburse compensation from its Wallet systems;
  5. act as a settlement
 
4.8.3.

If an Operator determines that the User is entitled to compensation, such compensation must be issued directly from the Operator to the User via their chosen offline or online method.

PayBayGO is not an intermediary, conduit, trustee, or custodian for such payments.

 
4.9.  Exclusion of Indirect or Consequential Damages
4.9.1.

PayBayGO excludes any liability for:

  • business interruption,
  • loss of profits,
  • loss of opportunity,
  • emotional distress,
  • legal expenses incurred by the User,
  • towing charges,
  • rental car expenses,
  • time lost or

These exclusions apply even if PayBayGO has been advised of the possibility of such losses.

 
4.10.  Maximum Extent of PayBayGO Liability
4.10.1.

To the fullest extent permitted by law, PayBayGO’s aggregate liability across all claims, disputes, or legal causes of action (whether contractual, tortious, statutory, or otherwise) is strictly limited to: the total amount paid by the User on the Platform in the thirty (30) days immediately preceding the event giving rise to the claim, and even such limited liability applies only where PayBayGO’s own willful misconduct is conclusively proven.

 
4.10.2.

PayBayGO’s liability shall never exceed this threshold under any circumstances.

 
4.11.  No Admission of Operational Responsibility

4.11.1.

No clause in this Part or in any communication by PayBayGO shall be interpreted as:

    • conferring operational responsibility for parking sites upon PayBayGO;
    • implying possession, control, or caretaking duties;
    • overriding the intermediary nature of PayBayGO’s role;
    • modifying the relationship between User and
    • Binding Acknowledgment by User 12.1.

By using the Platform, the User expressly acknowledges that:

    1. parking is inherently associated with risk;
    2. PayBayGO is not responsible for monitoring or ensuring safety;
    3. claims must be directed to Operators;
    4. PayBayGO’s systems merely track entry, exit, and billing events;
    5. the User has no right to seek compensation from PayBayGO except under the limited liability described above.
 
5.  FORCE MAJEURE
5.1  Definition of Force Majeure

PayBayGO shall not be responsible or liable for any delay, failure, interruption, or inability to perform any obligation under these Terms if such failure results from events, circumstances, or causes beyond its reasonable control. Force Majeure events include, without limitation: natural disasters, fire, flood, earthquakes, epidemics, pandemics, war, civil unrest, government action or restrictions, regulatory changes, labour disputes, strikes (other than PayBayGO’s own employees), cyber-attacks, power outages, network failures, payment-gateway disruption, or any event of similar nature that materially affects PayBayGO’s ability to operate.

 
5.2  Effect of a Force Majeure Event

If a Force Majeure event occurs:

  1. PayBayGO’s obligations are suspended for the duration of the
  2. PayBayGO shall have no liability for any resulting loss, delay, or service
  3. Any Service interruptions caused by the event shall not constitute a breach of these
 
5.3  Restoration of Services

PayBayGO will resume affected Services as soon as reasonably possible once the Force Majeure event has ceased, without any obligation to provide compensation, refunds, or alternative arrangements unless required by Applicable Law.

 
5.4  No Obligation to Overcome the Event

PayBayGO is not required to maintain backup systems, redundancies, or alternative service arrangements beyond what it already has in place at the time of the event, nor is PayBayGO obligated to overcome a Force Majeure event if doing so would be commercially unreasonable.

 
6.  DISCLAIMERS
6.1  Platform-Only Role and Exclusion of Operational Responsibility

PayBayGO operates solely as a digital intermediary that enables Users to discover, book, and pay for parking services offered by independent third-party Operators. The Platform

facilitates communication, payment initiation, Wallet usage, and access management, but exercises no operational, physical, managerial, supervisory, custodial, or safety-related control over any parking premises.

All parking-related obligations — including access, availability, safety, enforcement, compliance, supervision, and on-ground customer handling — lie exclusively with the relevant Operator.

 
6.2  No Bailment, No Custody, No Possession

PayBayGO does not at any time take possession, custody, or control of any User’s vehicle. No bailment, entrustment, deposit, or storage arrangement arises between PayBayGO and the User.

Users acknowledge that their vehicle remains at all times under their own control or the

control of the Operator, and that PayBayGO bears no duty of care in relation to the vehicle, its accessories, or any personal belongings stored within it.

 
6.3  No Warranty Regarding Parking Spaces or Operator Conduct

The Platform displays information made available by Operators. PayBayGO does not warrant, represent, or guarantee:

  1. the availability, accuracy, suitability, or safety of any parking space,
  2. the conduct, performance, competence, or reliability of any Operator or Operator staff,
  3. the physical condition, security, layout, lighting, surveillance, markings, or infrastructure at any parking location,
  4. that a parking slot appearing on the Platform will be available at the time of
  5. Operators are solely responsible for maintaining their premises in accordance with Applicable Law.
 
6.4  No Liability for Vehicle-Related Loss or Damage

PayBayGO disclaims all liability for any theft, break-in, vandalism, collision, fire, weather- related damage, towing, clamping, malfunctioning equipment, or any other damage or loss affecting a User’s vehicle.

Any claim or dispute relating to security or safety of the vehicle must be directed exclusively to the relevant Operator.

 
6.5  Technology, Network, and System Disclaimers

The Platform is provided on an “as is” and “as available” basis. PayBayGO does not warrant that:

  1. the Platform will operate without interruption, error, delay, or downtime,
  2. automated systems (including ANPR, access control, sensor/IoT devices, or ticketing infrastructure) will function at all times,
  3. internet or telecommunications networks will be available or
  4. Technical malfunctions may affect access or billing; Users agree that such failures do not impose liability on PayBayGO.
 
6.6  Payment, Wallet, and Gateway Disclaimers

Payments are processed through Razorpay under Razorpay’s independent compliance, settlement, authentication, and dispute-handling frameworks.

PayBayGO does not assume liability for:

  1. payment delays, declines, reversals, or chargebacks,
  2. UPI failures, card-issuer decisions, or net-banking errors,
  3. settlement delays or verification checks carried out by the
  4. The PayBayGO Wallet is a closed-loop balance usable only within the Platform; it is not a bank account, deposit, or financial instrument.
 
6.7  Accuracy of User Data and Operator Data

Users are solely responsible for providing accurate vehicle, contact, and billing information.

PayBayGO is not liable for incorrect fees, misdirected notifications, or denied access resulting from inaccurate or outdated data.

Similarly, PayBayGO does not verify or warrant the accuracy, legality, or completeness of Operator-provided information.

 
6.8  No Guarantee of uninterrupted access or error correction

PayBayGO does not guarantee the correction of defects or errors, nor does it guarantee uninterrupted availability of the Platform or any feature thereof. Maintenance, upgrades, provider outages, or network failures may impact availability.

 
6.9  No Agency, Partnership, or Employment Relationship

Use of the Platform does not create any relationship of agency, partnership, joint venture, employment, or bailment between PayBayGO and Users or Operators.

Operators provide services independently and at their sole discretion.

 
6.10  Limitation of Legal Remedies

Except to the minimum extent required by Applicable Law, Users waive any claims against PayBayGO for:

  1. loss of revenue, profits, goodwill, or business,
  2. indirect, incidental, punitive, exemplary, or consequential damages,
  3. alleged defects in parking spaces,
  4. disputes with Operators or third

The User’s sole and exclusive remedy is to discontinue use of the Platform.

 
6.11  No Professional Advice

PayBayGO does not provide legal, safety, engineering, or regulatory advice. Any recommendations or information displayed are purely informational.

 
6.12  Applicability of Mandatory Law

Nothing in this Part excludes liability that cannot be excluded under Indian law. In all other circumstances, PayBayGO’s liability is strictly excluded or limited as permitted by Applicable Law.

 
6.  LIMITATION OF LIABILITY
6.1  Platform as Intermediary Only

PayBayGO (operated by RIM Solutions Private Limited) functions solely as a digital intermediary that facilitates discovery of parking spaces, wallet-based payments, and related platform features. PayBayGO does not own, operate, manage, supervise, control, inspect, secure, maintain, or guarantee any parking space or facility.

 
6.2  No Liability for Parking Spaces or Operators

PayBayGO is not responsible or liable for:

  1. the condition, safety, legality, security, availability, or suitability of any parking space,
  2. actions or omissions of any Operator, partner, vendor, contractor, or on-ground personnel,
  3. any theft, loss, damage, injury, delay, misconduct, improper enforcement, or event occurring at or around any parking location.

All risks relating to the physical parking environment remain strictly between the User and the Operator.

 
6.3  No Liability for User Conduct

PayBayGO is not responsible for any misconduct, negligence, violation of law, misrepresentation, or breach committed by Users or any third party.

 
6.4  No Liability for Financial Transactios

PayBayGO is not responsible for failed, delayed, reversed, misrouted, declined, or disputed transactions caused by:

  1. banks,
  2. Razorpay or any payment gateway,
  3. network outages,
  4. issuer restrictions,
  5. incorrect User inputs,
  6. system errors outside PayBayGO’s

PayBayGO’s maximum liability for any proven error is strictly limited to the exact amount of the disputed transaction.

 
6.5  No Liability for Technology or Service Interruptions

PayBayGO is not liable for unavailability, downtime, latency, bugs, interruptions, corruption of data, unauthorized access, cyber incidents, maintenance windows, or inability to use the Platform—regardless of cause.

 
6.6  No Liability for Indirect Losses

To the fullest extent permitted by law, PayBayGO is not liable for any indirect, incidental, punitive, special, exemplary, or consequential damages, including loss of data, profits, revenue, business, goodwill, opportunity, or anticipated savings.

 
6.7  Maximum Aggregate Liability (Cap)

If PayBayGO is found liable despite the above protections, total aggregate liability for all claims arising from or relating to the Platform shall not exceed INR 1,000 or the total amount paid by the User in the preceding 3 months — whichever is lower.

 
6.8  Mandatory Risk Acceptance

Users expressly acknowledge that they utilize PayBayGO’s Platform and all parking spaces at their sole risk, and that PayBayGO provides the Platform strictly on an “as-is” and “as- available” basis.

 
7.  INDEMNITY
7.1  User Indemnity.

The User shall fully indemnify, defend, and hold harmless RIM Solutions Private Limited (PayBayGO), its directors, officers, employees, contractors, and affiliates from all claims, losses, liabilities, penalties, damages, costs, and legal expenses arising from or relating to:

  1. the User’s breach of these Terms;
  2. inaccurate, incomplete, or unlawful User data;
  3. misuse of the Platform, Wallet, or parking services;
  4. violations of parking-operator rules;
  5. damage, loss, or injury caused by the User’s vehicle or actions;
  6. disputes between the User and any Operator or third
 
7.2  Operator / Partner Indemnity.

Each Operator or Partner shall indemnify and hold PayBayGO harmless from all third-party claims, regulatory actions, property damage issues, operational failures, or disputes arising from their parking facilities or conduct.

 
7.3  Technology & Data Indemnity.

Users and Operators indemnify PayBayGO for all liabilities arising from unauthorized access, compromised accounts, misuse of credentials, or violations of data-protection obligations attributable to them.

 
7.4  Scope.

This indemnity applies regardless of claim type (contract, tort, negligence, statutory, or otherwise) and survives termination of the User’s account or these Terms.

7.5  Exclusive Control.

PayBayGO retains sole discretion to assume control of any defence or settlement, and indemnifying parties must fully cooperate.

 
8.  MODIFICATIONS AND TERMINATIONS
8.1  Right to Modify
  • PayBayGO may amend, revise, supplement or restate these Terms, Platform rules, operational policies, fee schedules, or any ancillary documents at any time, in its sole discretion, to reflect legal, technical, operational or business requirements.
  • Modifications become effective upon publication on the Platform or upon issuance of a notice to Users by any digital means chosen by PayBayGO.
  • Continued access or use of the Platform after the effective date constitutes binding acceptance of the modified terms.
  • PayBayGO is not obligated to provide advance notice except where expressly required under Applicable Law.
 
8.2  User Right to Discontinue
  • If a User does not agree to any modification, the User’s sole remedy is to cease all use of the Platform and close their account.
  • Any outstanding obligations, charges, or liabilities incurred prior to discontinuation survive account closure and remain fully enforceable.
 
8.3  Termination by PayBayGO
  • PayBayGO may suspend, restrict or terminate a User’s access—temporarily or permanently—without prior notice, where:
    1. the User violates these Terms or any Platform policy,
    2. fraudulent, abusive or suspicious activity is detected,
    3. required by law, court order or governmental directive,
    4. continued access poses operational, security or reputational risk,
    5. the User provides false, misleading or incomplete
  • PayBayGO may terminate or phase out any feature, service, product type, or functionality at any time, without obligation to continue supporting legacy
 
8.4 Effect of Termination
  • Termination immediately revokes the User’s right to access or use the
  • PayBayGO may delete or disable the User’s account and associated
  • Any outstanding wallet balances will be handled in accordance with the Payment Terms; no other payouts or compensation shall be owed.
  • All accrued obligations—financial, indemnity, liability limitations, confidentiality, data-use rights, and governing law clauses—survive termination to the fullest extent permitted by law.
 
8.5  Restoration of Access
  • PayBayGO may, but is not obligated to, reinstate access after termination or
  • Reinstatement may require identity verification, additional documentation, or remedies of outstanding breaches.
 
8.6  No Waiver; No Continuing Obligation
  • PayBayGO’s decision not to enforce any right or provision does not constitute a
  • Termination of a User does not impose any ongoing operational obligation on PayBayGO beyond those required by law.
 
9.  GOVERNING LAW AND DISPUTE RESOLUTION
9.1  Governing Law

These Terms & Conditions shall be governed and interpreted exclusively in accordance with the laws of India, without reference to principles of conflicts of law.

 
9.2  Exclusive Venue

All claims, disputes, or proceedings arising out of or relating to the Platform, Services, Wallet, Payments, Parking Use, or any contractual or non-contractual obligations connected to PayBayGO, shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.

 
9.3  Mandatory Pre-Litigation Process

Before initiating litigation, the Parties shall:

  1. provide written notice of the dispute;
  2. allow a minimum of 15 days for internal resolution; and
  3. participate in a good-faith settlement

Failure to comply does not restrict court access but may affect cost allocation.

 
9.4  No Class Actions

Users agree that all disputes must be brought individually. Consolidated, representative, or class actions are not permitted.

 
9.5  Interim and Injunctive Relief

PayBayGO may seek interim, injunctive, or equitable relief from any court of competent jurisdiction to protect its systems, data, intellectual property, or operations, notwithstanding any other provision of this Part.

 
9.6  Survival

All dispute-resolution commitments survive termination of:

  1. the User account,
  2. the contractual relationship, or
  3. access to the
 
10.  MISCELLANEOUS
10.1  Entire Agreement

These Terms constitute the complete and exclusive agreement between the User and RIM Solutions Private Limited (PayBayGO) regarding use of the Platform, Services, and Wallet. All prior oral or written understandings, proposals, or representations are superseded.

 
10.2  No Agency, Partnership or Employment

Use of the Platform does not create any agency, partnership, joint venture, employment, fiduciary, or representative relationship between the User and PayBayGO.

Operators are independent third parties. PayBayGO acts solely as a digital intermediary.

 
10.3  No Waiver 

Failure by PayBayGO to enforce any provision does not constitute a waiver of rights. Any waiver must be expressly issued in writing by an authorized signatory of PayBayGO.

 
10.4  Severability 

If any clause is held invalid or unenforceable, the remaining provisions continue in full force. Invalid terms shall be replaced with enforceable terms that most closely reflect the intended commercial and legal purpose.

 

10.5  Assignment

Users may not assign or transfer rights or obligations under these Terms.

PayBayGO may assign or transfer its rights, either entirely or partially, to any affiliate, successor entity, or acquirer without requiring User consent, provided the User’s essential rights remain unaffected.

 
10.6  Notices

 Official notices to PayBayGO must be delivered in writing to:

10.7  Survival

Any provision that by nature is intended to survive termination – including indemnities, limitations of liability, disclaimers, payment obligations, dispute resolution, and intellectual- property protections, shall remain in effect.

 
10.8  Interpretation

Headings are for convenience only and do not affect interpretation. Where context permits, singular includes plural, gender terms are neutral, and the word “including” means “including without limitation.”

 
10.9  Priority of Documents

If any conflict arises between these Terms and any supplementary policy (such as Payment Terms, Privacy Policy, or Cancellation Policy), these Terms prevail unless explicitly stated otherwise.

 
10.10  No Third-Party Beneficiaries

Except for Operators with whom PayBayGO has explicit commercial arrangements, no other party has rights under these Terms.

 
10.11  Governing Language

These Terms are drafted in English. Any translation provided is for convenience only; the English version prevails.

 
10.12  Compliance with Law 

Nothing in these Terms shall be interpreted as limiting PayBayGO’s obligations to comply with Applicable Law, regulatory directives, or lawful governmental instructions.
